1) Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the ECUSAFEZONE website, customer areas, courses, tools, and related services (the “Service”). By accessing or using the Service, you agree to these Terms.
2) Who we are
ECUSAFEZONE LIMITED provides: Automotive Software and ECU File, Programming Courses, Tuning Courses, Courses, Programming Courses Online, ECU Chips, ECU Hardware, ECU Software, and selected national products. We also provide ECU file-handling utilities and services (e.g., TORQUE UP, STAGES,VMAX) as part of our automotive solutions.
3) Definitions

“Software”: our programs, tools, utilities, documentation, and any downloadable components.

“Files”: ECU binaries and related data you upload for analysis/modification.

“User” / “you”: any person or entity accessing the Service.

“Content”: information, files, text, images, or materials provided by you or us.
4) Eligibility & Accounts
You must be legally capable of entering into a binding agreement under applicable law. You are responsible for the accuracy of your registration information and for safeguarding your login credentials. You remain responsible for all activity under your account.
5) Scope of Service
We may offer online courses, documentation, and tools for ECU file operations (including DTC-OFF/M-OFF), and related product sales. Certain features may require payment, an active subscription, or specific hardware/software prerequisites.
6) License & Access
Subject to these Terms and any applicable order, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful purposes. You may not sublicense, resell, rent, or share license keys without our prior written consent.

You agree not to:

Use the Service for unlawful purposes or to infringe third-party rights.

Upload malicious code or attempt to gain unauthorized access.

Tamper with licensing, security controls, or APIs.

Violate export control/sanctions laws.

Upload files or data for which you lack rights or permissions.
8) Compliance, Safety & Emissions
You are solely responsible for ensuring that any ECU modifications (including DTC-OFF/M-OFF) comply with all road, safety, and emissions regulations in your jurisdiction. Where required by law, our tools are for off-road/track use only. You assume all risks related to performance, reliability, legality, and any impact on warranties.
9) Your Files & Confidentiality
You retain rights to ECU files you upload. You grant ECUSAFEZONE a non-exclusive, worldwide license to process those files to provide and improve the Service. Where feasible, you may delete uploaded files from your account; backups may persist for a limited period under our retention practices. Do not upload confidential data unless necessary and permitted.
10) Payments, Plans & Taxes
Fees, if applicable, are displayed in the Service or on our website. Prices may exclude taxes and charges that may apply under the laws of England & Wales or your local jurisdiction. Access may be suspended for late or failed payments.
11) Intellectual Property
The Service and all related Software, code, design, trademarks, and documentation are owned by ECUSAFEZONE or its licensors and are protected by intellectual property laws. Except as allowed by mandatory law, you must not reverse engineer, decompile, or circumvent license/activation mechanisms.
12) Third-Party Services
The Service may integrate or link to third-party services (e.g., hosting, analytics, payment processors, Gravatar for comments if enabled). We are not responsible for third-party content, policies, or practices.
13) Warranties & Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant error-free operation, specific performance gains, or compatibility with any particular vehicle, ECU, or environment.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECUSAFEZONE AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, BUSINESS, PROFITS, OR VEHICLE DAMAGE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim shall not exceed the amounts you paid for the Service in the 12 months preceding the event giving rise to the claim.
15) Indemnity
You agree to defend, indemnify, and hold harmless ECUSAFEZONE from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your files/content, or your violation of these Terms or applicable laws.
16) Suspension & Termination
We may suspend or terminate access immediately if you breach these Terms, fail to pay applicable fees, or create a security or legal risk. You may stop using the Service at any time. Upon termination, your license ends and you must cease all use of the Software.
17) Changes to the Service & Terms
We may modify the Service or these Terms from time to time. Changes take effect upon posting or on the stated effective date. Your continued use after changes indicates acceptance.
18) Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England & Wales. The courts of London shall have exclusive jurisdiction.
19) Miscellaneous

Entire Agreement: These Terms (together with any order or policy referenced) constitute the entire agreement between you and ECUSAFEZONE.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Assignment: You may not assign your rights or obligations without our prior written consent.

Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
